1. Navdora Inc. Role

Marketplace / Intermediary Only

• Navdora Inc. provides a technology platform that connects users ("Requesters") with independent individuals ("Guides").
• Navdora Inc. does not itself provide travel services, verification services, or field services.
• Navdora Inc. does not direct, supervise, or control how Guides choose to complete requests, beyond platform rules and requirements.

No Employment Relationship

• Guides are independent third parties and are not employees, contractors, agents, or representatives of Navdora Inc.
• Nothing in the agreement creates:
  • employment
  • joint venture
  • partnership
  • fiduciary relationship
• Guides are solely responsible for how they choose to complete requests.

 

2. Definitions

• "Request" = user-submitted information or task
• "Guide" = independent user who may accept requests
• "Requester" = user submitting a request
• "Navdora Inc." = software service facilitating connections
• "Content" = photos, videos, responses submitted by Guides

 

3. Service Limitations

No guarantee of availability

• Requests are not guaranteed to be accepted or completed by a Guide.
• Completion depends on Guide availability.
• If Requests are not completed within 72 hours of submission to Navdora.com, Requester will be given the option to obtain a full refund.

No guarantee of accuracy beyond good-faith effort

• Guides are expected to complete requests in good faith.
• Guides are aware that they may be asked to provide photo or video verification.
• Navdora does not guarantee the accuracy of content provided by Guides, which reflects their good-faith, on-the-ground assessment at the time of fulfillment.

 

4. Safety Rules (both sides)

Prohibited Guide activities

Guides must NOT:

• enter private property without permission
• trespass or bypass access restrictions
• impersonate officials or employees of any business
• engage in illegal activity
• perform dangerous, hazardous, or unlawful acts
• record individuals in restricted/private settings where illegal

Prohibited Requests from users

Users must NOT request:

• illegal activities
• surveillance of individuals
• harassment or stalking
• private information gathering (addresses, personal identity data)
• unsafe or deceptive actions
• entry into restricted or private spaces

 

5. Content Rules (photos/videos)

Guides must:

• capture content themselves in real-world locations
• avoid uploading copyrighted or stolen media
• avoid misleading edits or fabricated content

Users acknowledge:

• content reflects conditions at time of capture only
• conditions may change (weather, crowds, closures)

 

6. Privacy & Data Protection

Guides and Requesters agree to comply with all applicable privacy and data protection laws in their jurisdiction when using Navdora Inc., including laws relating to the collection, recording, storage, and sharing of personal information.

• Personal data is only used to operate the service.
• Location data (if used) is limited to request fulfillment.
• No sale of personal data to third parties.
• Users and Guides must not share private personal data through requests.

 

7. Local Law Compliance

Guides are solely responsible for ensuring that their participation with Navdora Inc. and completion of any requests complies with all applicable laws, regulations, and local requirements in their jurisdiction, including but not limited to laws relating to gig work, independent contracting, and public space access.

Each user is responsible for their own compliance with applicable laws. Navdora Inc. is not responsible for unlawful actions taken by users. To the extent permitted by law, the Navdora Inc.'s liability is limited as set out in these Terms.

 

8. Payments, and Currency

Payments to Guides are processed in Canadian dollars (CAD). Where third-party payment services are used (including Wise or similar providers), currency conversions may occur based on the applicable provider's exchange rates and fees. Navdora Inc. is not responsible for any exchange rate differences, conversion fees, or delays imposed by third-party payment processors.

Marketplace flow

• Users pay Navdora Inc.
• Navdora Inc. holds funds until the Request's completion.
• Payment is released to Guide upon completion approval (or auto-release after defined time window).

Fees

• Navdora Inc. retains a service fee.

Refunds

• Refunds allowed if:
  • request not accepted
  • no meaningful completion
  • violation of platform rules
• No refund for subjective dissatisfaction if request was fulfilled.

 

9. Tax Responsibility

Guides are solely responsible for determining, reporting, and paying any taxes, duties, or governmental charges arising from payments received from Navdora Inc. Navdora Inc. does not provide tax advice and does not calculate, withhold, or remit taxes on behalf of Guides unless required by law.

 

10. Disputes

• Navdora Inc. acts as a neutral platform facilitator.
• Disputes reviewed based on submitted evidence (photos/videos/messages).
• Navdora Inc.'s decision is final in most cases.

 

11. Liability Limitation

To the maximum extent permitted by law, Navdora Inc. is not liable for any actions, omissions, or content provided by Requesters or Guides, including any violations of applicable laws.

Navdora Inc. acts solely as an intermediary platform and does not control the actions of Requesters or Guides.

• Navdora Inc. is not responsible for:
  • accuracy of Guide content
  • safety outcomes or financial consequences of travel decisions
  • actions of Guides or Requesters
  • third-party conditions at locations
• Use is at user's own risk.

 

12. Intellectual Property

• Guides retain rights to content they create.
• By submitting content, Guides grant Navdora Inc. a license to:
  • store
  • display
  • distribute for service purposes
• Users may use content for personal travel planning only.

 

13. Termination

Navdora Inc. may suspend or remove users or Guides for:

• fraud
• unsafe behavior
• repeated violations
• illegal activity
• misuse of the system

 

14. Jurisdiction

• Specified by the governing law of the local area of the Requester and Guide.
